Terms of Service

Interim terms. VNet IQ is operated as a sole proprietorship pending company formation. These interim terms cover free-tier and sandbox use. If you need a signed master service agreement, data processing agreement, or custom enterprise terms before deploying VNet IQ, email [email protected] — we'll provide a draft suitable for your procurement review.

1. Acceptance

By creating an account, connecting an Azure subscription, or otherwise using VNet IQ (the "Service") you agree to these Terms of Service. If you do not agree, do not use the Service.

2. What the Service does

VNet IQ reads Azure resource metadata (virtual networks, subnets, address spaces, peerings, gateways) from your subscriptions via a service principal you grant read-only access to. It detects CIDR overlaps, surfaces IP pool utilisation, and suggests free address ranges for new deployments. The Service does not modify your Azure infrastructure and never requests write permissions.

3. Your account

You authenticate via Microsoft Entra ID. You are responsible for keeping your Microsoft account credentials secure and for any activity that occurs under your account. You must be 16 or older to use the Service, and you confirm you have authority to connect the Azure subscriptions you point at the Service.

4. Plans, fees, and billing

Pricing is published on the pricing page and tied to the plan you select. Paid subscriptions are billed through Paddle.com Market Ltd ("Paddle"), our Merchant of Record. Paddle handles invoicing, tax, chargebacks, and refund processing in accordance with its own buyer terms. Subscriptions auto-renew until you cancel; you may cancel at any time from inside the app or via Paddle's customer portal.

Free trials are limited to 7 days from sign-up. After a paid subscription ends, the Service reverts to the Free tier with reduced features (conflict detection and IP pool hierarchy, capped at 50 networks).

5. Acceptable use

You agree not to: (a) connect Azure subscriptions you are not authorised to read; (b) reverse-engineer, scrape, or attempt to access another tenant's data; (c) abuse the Service's APIs in ways that degrade availability for others; (d) use the Service to violate any applicable law. We may suspend or terminate accounts that breach this section, with notice where practical.

6. Your data

We process the metadata your service principal exposes to us under the Privacy Policy and the security commitments on our Security page. You retain ownership of all data you connect. You can delete a connected subscription at any time, which removes the associated synced data from our active database within 24 hours and from backups within 30 days.

7. Service availability

We operate the Service on best-effort terms. We do not promise uninterrupted availability and do not currently offer a contractual uptime SLA outside of Enterprise agreements. Live status is published at status.vnetiq.com.

8. Warranty disclaimer

The Service is provided "as is" and "as available". Without limiting your statutory rights as a consumer where applicable, we disclaim all express and implied warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement. CIDR suggestions, conflict detections, and utilisation signals are advisory — review them before acting in production environments.

9. Limitation of liability

To the maximum extent permitted by law, the aggregate liability of VNet IQ for any claim arising out of or relating to the Service shall not exceed the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption. Some jurisdictions do not allow these limitations; in such cases they apply to the maximum extent permitted by local law.

10. Termination

You may stop using the Service at any time by deleting your organisation from inside the app. We may suspend or terminate your access for material breach of these terms, prolonged non-payment, or where required by law. On termination, we delete your data per Section 6.

11. Governing law

These terms are governed by the laws of Ireland. Disputes will be resolved in the courts of Ireland, except where mandatory consumer-protection law in your country of residence requires otherwise.

12. Changes to these terms

We may update these terms from time to time. Material changes will be announced at least 14 days in advance via email to your account address and via a banner in the app. Continued use after the change date constitutes acceptance.
